Terms of Service

These Terms of Service (“Terms”) govern your use of the Unloop mobile application (“App”) operated by Sidekick CommV (Enterprise number: 1016.861.193), registered at Kattendijkdok-Westkaai 61 box 1202, 2000 Antwerpen, Belgium (“we,” “us,” or “our”).

By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sidekick CommV regarding your use of the App.

1. What Unloop Is - And What It Is Not

Unloop is a self-help wellness tool that uses cognitive behavioral therapy (CBT) principles and artificial intelligence to help you understand and restructure your thought patterns. You are interacting with an AI system when using features such as journaling analysis, cognitive restructuring, and roadmap generation.

Unloop is NOT:

  • A medical device or clinical therapy service
  • A substitute for professional mental health treatment, counseling, or psychiatric care
  • A crisis intervention tool
  • A diagnostic tool - self-assessment scores (PHQ-9, GAD-7) are screening tools for informational purposes only and should not replace clinical evaluation by a licensed professional

No therapeutic relationship is created. Your use of the App does not create a therapist-patient, doctor-patient, or counselor-client relationship.

AI-generated content - including reframes, roadmaps, Socratic questions, and behavioral experiments - is created by artificial intelligence for informational and self-help purposes only. AI-generated content may occasionally contain errors, inaccuracies, or suggestions that are not appropriate for your specific situation. These suggestions are not professional clinical advice. You are always in control of which suggestions you choose to engage with.

Suitability. If you have a severe mental health condition (such as active psychosis, suicidal ideation, or an eating disorder), the App may not be appropriate for you. Please consult a qualified mental health professional.

If you are in crisis: If you are experiencing thoughts of self-harm, suicide, or are in immediate danger, please contact your local emergency services or find a helpline at findahelpline.com. Unloop is not designed for crisis use.

2. Eligibility

You must be at least 18 years old to create an account and use the App. By creating an account, you confirm that you are 18 or older.

We do not knowingly allow individuals under 18 to use the App. If we discover that a user is under 18, we will terminate their account and delete their data.

3. Your Account

3.1 Account Creation

You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You are responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us immediately at studio@theunloop.com.

3.3 Account Termination by You

You may delete your account at any time through Settings > Account and Data > Delete Account. Before deleting your account, you may request a copy of your data in a commonly used, machine-readable format by contacting studio@theunloop.com (in accordance with your right to data portability under GDPR Article 20). Upon deletion, your personal data will be removed within 30 days in accordance with our Privacy Policy.

3.4 Account Termination by Us

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms
  • Use the App in a way that could harm other users
  • Engage in abusive, threatening, or harassing behavior within community features
  • Attempt to reverse-engineer, copy, or redistribute the App or its content

We will provide notice before termination where reasonably possible.

4. Subscription and Payment

4.1 Free Trial

New users receive a 7-day free trial with full access to all features. The trial begins when you create your account. You will not be charged during the trial period. Your free trial will automatically convert to a paid subscription at the end of the 7-day period unless you cancel at least 24 hours before the trial ends. You can cancel at any time through your Apple App Store or Google Play Store account settings.

4.2 Subscription Plans

After the free trial, continued access requires a paid subscription:

Prices are in USD and may vary by region due to App Store / Play Store pricing tiers. All prices are inclusive of applicable taxes as determined by Apple or Google based on your location.

4.3 Billing

  • Subscriptions are billed through Apple App Store or Google Play Store, depending on your device
  • Payment is processed entirely by Apple or Google - we do not collect or store your payment information
  • Subscriptions auto-renew at the same price at the end of each billing period unless cancelled
  • Renewal charges are processed within 24 hours before the end of the current billing period
  • To avoid being charged for the next period, you must cancel at least 24 hours before the current period ends

4.4 Cancellation

You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings. Upon cancellation:

  • You retain access until the end of your current billing period
  • No further charges will be made
  • Your account and data remain intact - you can resubscribe at any time

4.5 Right of Withdrawal (EU Consumers)

Under EU consumer protection law (Directive 2011/83/EU), you have a 14-day right of withdrawal for distance contracts. However, by activating your subscription or starting the free trial, you expressly consent to the immediate delivery of digital content and acknowledge that you lose your right of withdrawal once the digital content has been provided. This does not affect your statutory rights or the refund policies of Apple and Google.

4.6 Refunds

All refund requests are handled by Apple or Google, in accordance with their respective refund policies:

We do not process refunds directly. If you have a billing issue that Apple or Google cannot resolve, contact us at studio@theunloop.com and we will do our best to help.

4.7 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will not affect your current billing period. You will be notified via email or in-app notification before any price change takes effect. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

5. Acceptable Use

You agree to use the App for its intended purpose: personal self-help and wellness. You agree NOT to:

  • Use the App as a substitute for professional medical or mental health treatment when such treatment is needed
  • Share your account with others or allow others to access the App through your account
  • Use the App to harm, harass, or threaten other users through community features
  • Post or transmit content that is abusive, threatening, discriminatory, or harmful through nudges or group features
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App
  • Use automated tools, bots, or scripts to interact with the App
  • Exploit bugs or vulnerabilities - if you discover a bug, please report it to us
  • Use the App to collect data about other users
  • Resell, redistribute, or commercially exploit any part of the App or its content

6. Community Features

6.1 Groups and Accountability

The App includes community features such as group challenges, accountability partnerships (“handshakes”), and nudge messages. When using these features:

  • Be respectful and supportive of other users
  • Do not share other users' personal information outside the App
  • Do not use nudges or messages to harass, pressure, or shame other users

6.2 Moderation

We reserve the right to remove users from community features or terminate accounts for abusive or harmful behavior.

7. Intellectual Property

7.1 Our Content

The App, including its design, code, text, graphics, AI prompts, therapeutic frameworks, and all other content, is owned by Sidekick CommV and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the App without our written permission.

7.2 Your Data

You own the personal data you provide to the App (thoughts, beliefs, journal entries, session data). We do not claim ownership of your data. Our use of your data is governed by our Privacy Policy.

7.3 AI-Generated Content

Content generated by the App's AI (reframes, suggestions, roadmaps, experiments) is generated for your personal use within the App. You may use AI-generated insights for your own personal development. You may not commercially exploit, republish, or redistribute AI-generated content.

8. Health and Biomarker Integration

If you choose to connect health data through our Sahha integration:

  • This is entirely optional - the App functions fully without it
  • You can disconnect at any time through the App settings
  • Health data is used solely to personalize your experience within the App
  • Processing of health data requires your explicit consent under GDPR Article 9, which is obtained through a dedicated in-app consent flow
  • We do not share your health data with third parties for advertising or data brokerage
  • If accessed through Apple HealthKit, your health data is handled in compliance with Apple's HealthKit guidelines
  • Sahha's own privacy policy and terms apply to their processing of your data

9. Disclaimers and Limitation of Liability

9.1 No Medical Advice

The App does not provide medical advice, clinical diagnosis, or professional therapy. All content, including AI-generated suggestions, is for informational and self-help purposes only. AI-generated content may contain errors or inaccuracies. Always seek the advice of a qualified health professional for any mental health concerns. Self-assessment scores (PHQ-9, GAD-7) are screening tools only and do not constitute clinical diagnosis.

9.2 No Guarantee of Results

We do not guarantee specific therapeutic outcomes. Individual results vary. Cognitive behavioral therapy techniques require consistent engagement, and the effectiveness of self-guided exercises depends on many personal factors.

9.3 Service Availability

We strive to keep the App available at all times but do not guarantee uninterrupted access. The App may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.4 Limitation of Liability

To the maximum extent permitted by applicable law, Sidekick CommV shall not be liable for: any indirect, incidental, special, consequential, or punitive damages; any loss or damage arising from your reliance on content generated by the App; any harm resulting from your use of the App as a substitute for professional treatment; any loss of data beyond what is described in our data retention policy; any actions taken by other users within community features.

Our total liability for any claim arising from your use of the App shall not exceed the amount you paid for your subscription in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct; or (d) any other liability that cannot be excluded or limited under applicable Belgian or EU law. These Terms do not affect your statutory rights as a consumer.

9.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemic, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers. We will use reasonable efforts to resume performance as soon as practicable.

10. Third-Party Services

The App relies on third-party services to operate. These services are subject to their own terms and privacy policies:

  • Apple App Store / Google Play Store - for app distribution, payments, and subscriptions
  • AWS (Amazon Web Services) - for AI processing and cloud infrastructure
  • Sahha - for optional health/biomarker integration
  • Supabase - for authentication and data hosting

We are not responsible for the availability, performance, or terms of third-party services. Changes to third-party services may affect App functionality.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will update the version number and date at the top
  • We will notify you via email or in-app notification at least 30 days before the changes take effect
  • For material changes, we will ask for your affirmative consent through an in-app acceptance screen
  • If you do not agree with the updated Terms, you may cancel your subscription and delete your account before the changes take effect, without penalty
  • Material changes will not apply retroactively

13. Governing Law and Disputes

These Terms are governed by the laws of Belgium and the applicable laws of the European Union.

Any disputes arising from these Terms or your use of the App shall be subject to the jurisdiction of the courts of Antwerp, Belgium. If you are a consumer resident in the EU/EEA, you may also bring proceedings in the courts of your place of domicile, in accordance with applicable EU law. Nothing in these Terms affects your statutory rights as a consumer.

Before initiating legal proceedings, we encourage you to contact us to attempt to resolve the matter informally. You may also contact the Belgian Consumer Mediation Service (Service de Mediation pour le Consommateur / Consumentenombudsdienst) for out-of-court dispute resolution:

14. Apple and Google App Store Terms

14.1 Apple App Store

If you downloaded the App from the Apple App Store, you acknowledge and agree that:

  • These Terms are between you and Sidekick CommV, not Apple. Apple is not a party to these Terms.
  • Sidekick CommV, not Apple, is solely responsible for the App and its content.
  • Apple has no obligation to provide any maintenance or support services for the App.
  • Apple is not responsible for addressing any claims you may have relating to the App, including product liability claims, consumer protection claims, or intellectual property infringement claims.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

14.2 Google Play Store

If you downloaded the App from the Google Play Store, you acknowledge that Google has no obligation or liability to you with respect to the App or these Terms. Your use of the App is also subject to the Google Play Store Terms of Service.

15. General Provisions

15.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.2 Assignment

We may assign or transfer these Terms and our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights under these Terms without our prior written consent.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it at a later time.

15.4 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency.
